Terms of Service

Last updated: [DATE]

Template notice. This is a generic SaaS template tailored to Adable's business model. Have a qualified lawyer review and adapt it before publishing. Do not treat this document as legal advice.

1. Who we are

These Terms of Service ("Terms") form a binding agreement between you ("you", "Customer") and [Encyon AB / Legal Entity Name], org.nr [XXXXXX-XXXX], [Address], Sweden ("Adable", "we", "us") governing your use of the Adable platform at [adable.dev] and any related services, APIs, and applications (together, the "Service").

By creating an account, clicking "I accept", or using the Service, you agree to these Terms and to our Privacy Policy.

2. The Service

Adable is an AI-powered platform for creating, scheduling, and distributing short-form video advertising across third-party platforms such as TikTok, Instagram, Meta, and YouTube. The Service includes:

  • AI video generation using third-party model providers (e.g. Google VEO, OpenAI Sora, Runway, Kling, Seedance)
  • Brand profile management, content planning, and scheduling tools
  • Connections to third-party social and ad platforms via OAuth
  • Analytics and reporting on published content
  • Optional API access for programmatic use

We may add, change, or remove features at any time. We will give you reasonable notice of material changes that adversely affect a paid plan you are on.

3. Accounts and eligibility

You must be at least 18 years old and able to enter into a binding contract. If you sign up on behalf of a company or other entity, you represent that you have authority to bind that entity, and "you" includes that entity.

You are responsible for keeping your credentials secure and for everything that happens under your account. Notify us immediately if you suspect unauthorised use.

4. Plans, fees, and billing

The Service is offered on subscription tiers (currently Solo, Brand, Agency, and Enterprise) with pricing shown at sign-up or in your billing dashboard. Some features are billed on a per-video / pay-for-usage basis in addition to the subscription.

  • Billing. Subscriptions renew automatically until cancelled. Usage charges are billed in arrears.
  • Payment processor. Payments are processed by Stripe. By paying, you also accept Stripe's terms applicable to you.
  • Taxes. Prices are exclusive of VAT and other taxes unless stated otherwise. You are responsible for any taxes imposed on you.
  • Refunds. Subscription fees are non-refundable except where required by law. Pay-per-use charges are non-refundable once the underlying generation has been performed.
  • Late payment. We may suspend or downgrade your account if a payment fails and is not cured within a reasonable period.

We may change pricing for future renewal periods. Changes will take effect on your next renewal and we will notify you at least 30 days in advance.

5. Acceptable use

You agree not to use the Service to:

  • Generate or distribute content that is unlawful, infringes intellectual property, defames, harasses, or violates privacy
  • Generate sexual content involving minors, non-consensual intimate imagery, or content that incites violence or terrorism
  • Impersonate real people without authorisation, including via voice cloning or face references
  • Generate political disinformation, deepfakes intended to deceive, or content that violates election or advertising law
  • Attempt to bypass usage limits, rate limits, or platform policies of connected services (TikTok, Instagram, etc.)
  • Reverse engineer, scrape, or attempt to extract source code, model weights, or training data
  • Use the Service to build a competing product or to train a competing AI model

You must also comply with the terms of every third-party platform you connect to or publish on. Violations of those platforms are violations of these Terms.

6. Your content

Customer Content means anything you upload, generate, or publish through the Service, including brand assets, scripts, prompts, reference images, voice samples, generated videos, and analytics.

You retain all rights you have in your Customer Content. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, transmit, transcode, modify (e.g. for format / aspect ratio), display, and otherwise process your Customer Content solely to operate, improve, and provide the Service to you, including by passing prompts and reference material to the third-party AI providers required to fulfil your request.

You represent and warrant that you have all rights necessary to use any content you upload (logos, photos, footage, voice samples, faces, music, brand assets) and that doing so does not infringe any third party's rights or violate any law.

7. AI-generated content

The Service uses third-party AI models to generate video, audio, captions, and other media on your behalf.

  • You are solely responsible for reviewing and approving generated content before it is published.
  • AI output may be inaccurate, biased, or contain unintended likeness to real people. You will not rely on it without independent verification.
  • Different jurisdictions impose different disclosure requirements for AI-generated advertising. You are responsible for complying with any such labelling rules.
  • We make no representation that AI-generated content is original or non-infringing. Where models were trained on copyrighted material, ownership of outputs is unsettled in many jurisdictions.

8. Third-party platform connections

When you connect Adable to a third-party platform (TikTok, Instagram, Meta, YouTube, etc.), you authorise us to access and act on those platforms on your behalf to the extent of the OAuth permissions you grant. You can revoke this access at any time from your account or from the platform's own settings.

We are not responsible for changes to or outages of those third-party platforms, including changes that break publishing, change pricing, or remove features.

9. Confidentiality

Each party will protect the other's non-public information disclosed under this agreement with at least reasonable care and use it only to perform under these Terms. This does not apply to information that is public, independently developed, or required to be disclosed by law.

10. Intellectual property

Subject to your payment of fees and compliance with these Terms, we grant you a non-exclusive, non-transferable, revocable right to access and use the Service.

We retain all right, title, and interest in the Service, including software, models we develop, design, trademarks, and any aggregated, anonymised data derived from usage. Nothing in these Terms transfers ownership of the Service to you.

11. Suspension and termination

We may suspend or terminate your access if you materially breach these Terms, fail to pay, or use the Service in a way that risks harm to us, other users, or third parties. We will give notice and a chance to cure where reasonable.

You may terminate at any time by cancelling your subscription. Termination does not entitle you to a refund of pre-paid fees. After termination, we may delete your data after a reasonable retention period (see the Privacy Policy).

12. Warranties and disclaimers

The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing.

We do not warrant that the Service will be uninterrupted, error-free, secure, or that AI-generated output will meet your requirements.

13. Limitation of liability

To the maximum extent permitted by law:

  • Neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill.
  • Our total aggregate liability arising out of or relating to these Terms is limited to the amounts you paid to us for the Service in the 12 months preceding the event giving rise to the claim.

These limits apply even if a remedy fails of its essential purpose. They do not apply to liability that cannot be excluded under applicable law (e.g. gross negligence, wilful misconduct, or, where applicable, mandatory consumer rights).

14. Indemnification

You will defend, indemnify, and hold us harmless from any third-party claim arising out of (a) your Customer Content, (b) your use of the Service in violation of these Terms or applicable law, or (c) content you publish to third-party platforms through the Service.

15. Changes to these Terms

We may update these Terms from time to time. If a change is material, we will notify you (e.g. by email or in-app banner) at least 30 days before it takes effect. Continued use after the effective date means you accept the updated Terms.

16. Governing law and disputes

These Terms are governed by the laws of Sweden, excluding its conflict-of-laws rules. The exclusive venue for disputes is the courts of Stockholm, Sweden, unless mandatory consumer law in your country of residence requires otherwise.

If you are a consumer in the EU, you may also use the European Commission's online dispute resolution platform at https://ec.europa.eu/consumers/odr/.

17. Miscellaneous

  • Entire agreement. These Terms, together with the Privacy Policy and any order form or plan-specific terms, are the entire agreement between us.
  • Assignment. You may not assign these Terms without our written consent. We may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets.
  • Severability. If any provision is unenforceable, the rest remains in effect.
  • No waiver. Our failure to enforce any provision is not a waiver.
  • Notices. We may send notices to the email associated with your account. You may contact us at [legal@adable.dev].
